This Services Agreement ("Agreement") is between MSP Expert ("Company", "we", "us", or "our") and the entity or individual ("Client", "you", or "your") purchasing or utilizing the managed IT services, workplace hardware, and support infrastructure provided by MSP Expert.
Our commitment is to provide 24/7 human-centric technology management that empowers your workforce. These terms ensure that both parties understand their operational boundaries and legal safeguards.
MSP Expert provides a Tiered Support structure designed to resolve issues based on business impact. Critical infrastructure failures (Priority 1) receive immediate attention from our senior engineering team.
To ensure the highest level of security and performance, Clients must adhere to the following operational standards:
Maintaining secure, unique credentials for all authorized personnel and notifying us within 4 hours of staff termination.
Ensuring that managed devices are used in professional environments and not modified by unauthorized third parties.
"In no event shall MSP Expert be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services."
Our total liability for all claims related to the services shall not exceed the amount paid by you to MSP Expert for the specific service giving rise to the claim during the twelve (12) months preceding the incident.
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
